WHEREAS, based upon the investigation, SOSNY made forty-six separate expenditures,

in the form of political communications, totaling $7,462,312.19, to support candidate Lee Zeldin;

and

WHEREAS, based upon the investigation, STNY made forty separate expenditures, in the form of political communications, totaling $12,056,448.46, to support candidate Lee Zeldin; and WHEREAS, based upon the investigation, the CEC believes that SOSNY and STNY made coordinated expenditures, in the form of political communications, resulting in contributions to support candidate Lee Zeldin and falsely identifying such political communications as independent expenditures; and
WHEREAS, based upon the investigation, the CEC also believes that SOSNY failed to file campaign materials related to the 2022 General Election; and
WHEREAS, the CEC commenced a Hearing Officer (HO-24-009) proceeding pursuant to Election Law on November 25, 2024, by filing a Notice of Hearing, Report of the CEC, and Statute and Rules in connection with the Covered Conduct, and serving the same on Respondents; and
WHEREAS, Respondents filed an Answer on April 2, 2025, denying the allegations, asserting that the Covered Conduct did not violate the Election Law, and requesting an in-person hearing; and
WHEREAS, the CEC filed a Reply on July 22, 2025, and thereafter the assigned Hearing Officer set a hearing date for September 17, 2025; and
WHEREAS, the Parties seek to resolve their differences and enter into this Agreement,

giving due regard to the previously unresolved issues of fact and law; and
WHEREAS, this Agreement is not an admission of any liability, civil or criminal, by Respondents; and
